Terms of Service

Article 1 (General Provisions)

These Terms of Service (hereinafter referred to as "these Terms") set forth the conditions for using the service "Nijiworks" (hereinafter referred to as "the Service") provided by Nijiworks (hereinafter referred to as "the Company").

All users who use the Service (hereinafter referred to as "Users") shall be deemed to have agreed to these Terms.

Article 2 (Definitions)

The terms used in these Terms are defined as follows:

  • "Buyer" refers to a user who purchases products through the Service.
  • "Seller" refers to a user who lists and sells products through the Service.
  • "Project" refers to a system where multiple buyers collaborate to purchase products in order to meet the minimum order quantity.
  • "Content" refers to text, images, videos, audio, and other information.

Article 3 (Account Registration)

  1. Those who wish to use the Service must register an account according to the Company's specified method.
  2. Those registering an account must provide true and accurate information.
  3. The Company may refuse account registration if any of the following applies:
    • Registration information contains false, incorrect, or missing information
    • Previous account was deleted due to violation of these Terms
    • Applicant is a minor, adult ward, person under curatorship, or person under assistance without consent from legal representative, guardian, curator, or assistant
    • Applicant is associated with antisocial forces
    • Other cases deemed inappropriate by the Company

Article 4 (Account Management)

  1. Users shall manage their account passwords and login information at their own responsibility.
  2. Users may not transfer or lend their account to a third party under any circumstances.
  3. The Company assumes no responsibility for damages arising from inadequate account information management, usage errors, third-party use, etc.

Article 5 (Product Purchases)

  1. Buyers can apply to purchase products by joining projects.
  2. When the minimum order quantity is reached, a sales contract shall be established between participating buyers and sellers.
  3. If the minimum order quantity is not reached within the deadline, the project will be automatically cancelled and all fees will be fully refunded.
  4. Product prices, shipping costs, and other fees shall be as displayed on the product page.
  5. Payment methods shall be those specified by the Company.

Article 6 (Product Listings)

  1. Sellers may list products according to the Company's specified method.
  2. Sellers must provide true and accurate information about their products.
  3. Sellers may not list the following products:
    • Products that violate laws and regulations
    • Products contrary to public order and morals
    • Products that infringe on third-party rights
    • Hazardous materials, pharmaceuticals, and other products deemed inappropriate by the Company
  4. After reaching the minimum order quantity, sellers are obligated to ship products promptly.

Article 7 (Fees)

  1. Sellers shall pay the Company a commission of 10% of sales when a product is sold.
  2. Commissions are automatically deducted from sales proceeds.
  3. The Company may change the commission rate by providing prior notice.

Article 8 (Returns and Refunds)

  1. If a product is defective or differs from the description, buyers may request a return or exchange by notifying the Company within 7 days of product arrival.
  2. Returns for buyer's convenience are generally not accepted.
  3. If a project is cancelled, participation fees will be fully refunded.

Article 9 (Prohibited Acts)

Users shall not engage in the following acts:

  • Acts that violate laws or public order and morals
  • Acts related to criminal activities
  • Acts that infringe on the rights of the Company, other users, or third parties
  • Providing false information
  • Acts that interfere with Service operations
  • Unauthorized access, hacking, virus transmission, etc.
  • Using the Service for commercial purposes (excluding product listings)
  • Other acts deemed inappropriate by the Company

Article 10 (Intellectual Property Rights)

  1. All intellectual property rights related to the Service belong to the Company or those who have licensed them to the Company.
  2. Intellectual property rights for user-posted content belong to the user. However, users grant the Company the right to use such content free of charge to the extent necessary for providing, operating, and improving the Service.

Article 11 (Disclaimer)

  1. The Company makes no guarantees regarding the accuracy, completeness, usefulness, etc. of the Service.
  2. The Company assumes no responsibility for damages arising from the use of the Service. However, this does not apply in cases of willful misconduct or gross negligence by the Company.
  3. The Company assumes no responsibility for disputes arising from transactions between sellers and buyers.
  4. The Company assumes no responsibility if the Service is unavailable due to system failures, communication failures, natural disasters, or other force majeure events.

Article 12 (Service Changes and Termination)

  1. The Company may change the content of the Service without prior notice to users.
  2. The Company may terminate the Service by notifying users at least 30 days in advance.

Article 13 (Changes to Terms)

The Company may change these Terms as necessary. When the Terms are changed, the Company will post the revised Terms on the Service, and the revised Terms shall take effect from the time of posting.

Article 14 (Personal Information Handling)

The Company will handle users' personal information appropriately in accordance with our Privacy Policy.

Article 15 (Governing Law and Jurisdiction)

  1. These Terms shall be governed by and construed in accordance with Japanese law.
  2. In the event of disputes concerning the Service, the Tokyo District Court shall be the exclusive court of jurisdiction for the first instance.
